1. Introduction

GetQR is a platform for creating, customizing, tracking, and managing QR codes, operated by Hint America Inc. These Terms & Conditions (the "Terms") set out the agreement between you and Hint America Inc. ("GetQR," "we," or "us") whenever you visit our website, sign up for an account, start a trial, purchase a subscription, or otherwise make use of any feature or tool provided through our platform (the "Service").

Reading these Terms matters. Creating an account, paying for a subscription, or continuing to use the Service means you have accepted everything written here, together with our Privacy Policy and Cookie Policy, which are part of this agreement. If any part of this document is unacceptable to you, please do not register, subscribe, or use the Service.

We may update these Terms from time to time. When a change is material — meaning it meaningfully affects what you pay, what you can do with the Service, or your legal rights — we will give you at least 30 days' notice by email or in-app message before the change takes effect, and you may cancel before the effective date and receive a pro-rata refund of any prepaid period that extends beyond it. Clarifications, typo fixes, and updates to contact details may happen at any time. The "Last Updated" date at the top of this page will always reflect the most recent version.

2. Class Action Waiver

BY USING THE SERVICE, YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL BE RESOLVED INDIVIDUALLY, ON YOUR OWN BEHALF ONLY. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING AGAINST GETQR OR HINT AMERICA INC., INCLUDING ANY CLASS ARBITRATION, CLASS ACTION, MASS ARBITRATION, OR PRIVATE ATTORNEY GENERAL ACTION.

YOU ALSO WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE BETWEEN YOU AND GETQR TO THE EXTENT PERMITTED BY APPLICABLE LAW.

THIS SECTION IS A MATERIAL AND NON-SEVERABLE PART OF THESE TERMS. IF A COURT FINDS THIS WAIVER UNENFORCEABLE IN A PARTICULAR JURISDICTION OR FOR A PARTICULAR DISPUTE, THE REMAINDER OF THESE TERMS WILL REMAIN IN FULL FORCE. IN ANY SUCH CASE, THE DISPUTE MUST STILL BE RESOLVED ON AN INDIVIDUAL BASIS WHEREVER APPLICABLE LAW PERMITS.


3. About the Service

GetQR lets users generate static and dynamic QR codes, customize their appearance with colors, frames, logos, and text, track scan activity through analytics, and manage all of their codes from a single dashboard. Dynamic QR codes can be updated after creation, so the destination URL or content behind a code can change without reprinting the code itself.

The platform currently includes, among other things, QR code generation and editing, design customization tools, a dynamic redirect engine, scan analytics including scan counts, geolocation, device, and timing data, bulk export of QR code files, folder-based organization, and account management. We continue to add, modify, or remove features as the product evolves, and the exact set of features available to you will depend on your subscription tier and any active promotions or beta programs.

The Service is a tool for marketing, operational, and informational use. It is not designed for, and must not be relied upon for, emergency response, medical treatment decisions, financial transactions requiring verified authenticity, critical infrastructure, or any context where a QR code's failure to resolve, or incorrect resolution, could cause harm.

We may update, improve, restrict, suspend, or discontinue any part of the Service at any time. For material changes that affect paying customers, we will follow the notice process described in Section 1.


4. Planned AI Features and Add-On Credits

We are developing AI-powered features that we plan to make available to users in the future. These may include automatic suggestion of design templates and icons based on the apparent purpose of a QR code, generation of logos or graphic elements, creation of landing pages that sit behind dynamic codes, menu builders for restaurants and hospitality businesses, and similar tools that help users produce the destination content behind their codes. The specific features, pricing, and availability of these AI tools will be announced within the product when launched.

Access to AI-powered features may be offered through additional paid credits, separate add-on packages, or tier-specific allowances on top of your base subscription. Unused AI credits may expire at the end of a billing period, may not be transferable between accounts, and are generally non-refundable once issued or consumed, except where applicable law requires otherwise. The exact terms applicable to any AI credit purchase will be displayed at the point of sale.

AI-generated output, whether a logo, template suggestion, landing page layout, or other material, is produced by automated systems and is provided for your use without any guarantee of accuracy, originality, uniqueness, or fitness for a particular purpose. You are responsible for reviewing AI output before publishing or relying on it, including confirming it does not infringe third-party rights and is appropriate for your intended use. We may update, replace, or retire the underlying AI models at any time, and results may vary between sessions as models evolve.


5. Service Limits and Fair Use

Paid subscriptions to GetQR do not impose a fixed cap on the number of QR codes you can create. We operate a fair-use policy: normal commercial and personal use of the Service is fully supported, but usage patterns that appear designed to abuse the platform — including automated mass generation, scraping, reselling QR infrastructure, or interfering with other users — may be restricted.

Trial access may be limited to a reduced feature set. This can include a limited number of QR codes created during the trial, restricted access to certain analytics or customization features, or other caps communicated at the time of sign-up. The exact trial limitations in effect at any given time will be displayed during the trial sign-up flow and may change.

We may also impose technical limits on scan volume per code, upload file size, analytics data retention, API request rate (where APIs are available), and bulk operations, all to maintain platform performance and keep the Service running reliably for everyone. Hitting any of these limits is not grounds for a refund or credit.

We may monitor usage at the account and platform level to identify abuse, detect security threats, and enforce these Terms.


6. Eligibility

You must be at least 18 years old, or the age of majority in the jurisdiction where you reside, to create an account or subscribe to GetQR. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into this agreement.

If you are creating an account on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" in this document will apply to both you personally and that entity.

We may ask for proof of age or identity at any time, and we may suspend or close accounts where we have reason to believe the user does not meet the eligibility requirements or has provided false information during sign-up.


7. Notice to Parents and Legal Guardians

The Service is not directed to children. We do not knowingly collect personal information from anyone under 18, or under the minimum age for data-processing consent in their jurisdiction where that age is higher.

If you are a parent or legal guardian and you discover that a minor under your care has created a GetQR account, accessed the Service, or provided us with personal information, please contact help@getqr.com immediately. We will disable the account and delete associated personal data to the extent required by applicable law.

Because QR codes can link to arbitrary destinations on the open web, we encourage parents and guardians to supervise how minors interact with QR technology generally, including codes scanned from physical materials, packaging, and public spaces.


8. Accounts and Security

To use most features of the Service, you will need to create an account using a valid email address. You are responsible for providing accurate sign-up information, keeping it up to date, and keeping your login credentials confidential. Login to GetQR uses email-based authentication codes; you should treat any code sent to your email as sensitive and never share it.

One account per individual user or business entity is permitted. Accounts are personal to the registered holder and may not be sold, transferred, or shared.

You are responsible for all activity that takes place under your account, whether authorized by you or not, up until the point you notify us of suspected unauthorized access. If you believe your account has been compromised, contact help@getqr.com without delay so we can help secure it.

We may refuse registration, suspend accounts, require additional verification, or close accounts that we reasonably believe are fraudulent, duplicative, associated with payment abuse, or being used in violation of these Terms.


9. Trial, Subscriptions, and Billing

New users can start with a 7-day trial of GetQR's full Pro feature set at a discounted introductory price. The trial price is $1.00 USD in the United States, €1.00 in the European Union, £1.00 in the United Kingdom, CA$1.50 in Canada, AU$1.50 in Australia, and the equivalent amount in other regions as displayed at checkout. The trial fee is non-refundable.

At the end of the 7-day trial, your account will automatically convert to a paid monthly subscription at the standard rate unless you cancel before the trial period ends. The standard monthly rate is $39.99 USD, €39.99 in the European Union, £39.99 in the United Kingdom, CA$44.99 in Canada, and AU$48.99 in Australia. Users who prefer longer commitments can choose quarterly or annual plans at a lower effective monthly rate; the exact pricing for each plan is shown during sign-up or in your account settings.

We may offer regional pricing, seasonal promotions, time-limited discounts, and tier-specific bundles. The exact price you will be charged, in your local currency and including any applicable taxes, is always displayed before you complete payment, and that displayed amount is what will be charged.

Subscriptions automatically renew at the end of each billing cycle. We accept payment by credit and debit cards, PayPal, Apple Pay, and Google Pay through PCI-DSS-compliant payment processors. If a payment fails — for example, due to an expired card, insufficient funds, or a declined transaction — we may suspend access until the payment method is updated, and we may terminate accounts where payment remains unresolved.

Cancellation is always available. You can cancel at any time from our cancellation page, which is also accessible through a link in your account dashboard. Cancellation takes effect at the end of your current billing cycle, and you retain full access until then. Removing your payment method, initiating a chargeback, or contacting your bank does not count as cancellation and may result in continued billing and account restrictions.

You are responsible for any taxes, duties, or levies imposed on your purchase by your local tax authority, unless we are collecting and remitting those taxes on your behalf. If you believe a charge was made in error, notify us at support@getqr.com within 15 days of the charge date; claims submitted after that point may not be eligible for review.


10. Refunds

The 7-day trial fee is non-refundable.

Refunds on subscription charges may be issued in the following circumstances: duplicate or erroneous charges caused by a billing system error, technical faults that prevent you from accessing the Service for an extended period, and cases where we are required to issue a refund under applicable law.

Refunds will not generally be issued for change of mind, cancellation after a billing period has started, underuse of the Service, dissatisfaction with a specific feature that is functioning as described, failure to cancel before automatic renewal, or hitting a usage limit described in Section 5.

To request a refund, email support@getqr.com within 30 days of the charge, including the account email and the transaction details from your payment receipt. Approved refunds are returned to the original payment method and typically appear within 5 business days, depending on your bank.

If you are a consumer in the European Union or the United Kingdom, you have a statutory right to withdraw from a digital services contract within 14 days of purchase. By starting your trial or subscription and receiving immediate access to the Service, you expressly request immediate performance of the contract and acknowledge that your right of withdrawal is lost once the Service has been supplied, as permitted under applicable consumer protection law.

Charges are processed in USD, EUR, GBP, CAD, or AUD where supported. For all other regions, charges are processed in USD. Currency conversion rates and any conversion fees are set by your bank or card issuer; we do not add a separate conversion fee, but conversion fees charged by your bank are not refundable by us.


11. Your Content

The content you put into GetQR belongs to you. This includes the destination URLs, files, documents, or other targets behind your QR codes, the names, tags, and categories you assign, the logos and branding assets you upload for customization, and any other information you submit through the Service.

To operate the Service for you, we need a practical license to handle that content. By using GetQR, you grant us a non-exclusive, worldwide, royalty-free license to store, host, process, transmit, display, and reproduce your content for the purpose of providing the Service, including generating your QR codes, serving the redirect behind dynamic codes to anyone who scans them, producing analytics, running the dashboard and customization tools, making backups, and carrying out security and fraud-prevention work.

We may also analyze how the Service is used — including the categories and patterns of destinations users link to — to improve the platform, personalize the experience, and develop smarter features. As an example, understanding that many users create menu QR codes for restaurants helps us build better restaurant-specific templates; understanding which customization options are most used helps us prioritize new design features. Where this analysis involves personal data, we process it in accordance with our Privacy Policy and applicable data protection law, and users in the EU, UK, and other jurisdictions with equivalent rules retain the rights described there.

You agree not to use the Service to host, link to, or distribute content that is illegal, infringing, harmful, deceptive, fraudulent, malicious software or tracking, adult or sexually explicit, hateful, harassing, or otherwise prohibited by Section 13. You are responsible for the content behind every QR code you create, and for the third-party rights that may apply to any logo, image, or text you upload.


12. Ownership of the Platform

Everything that makes up GetQR itself — the software, backend systems, website, QR generation engine, analytics infrastructure, customization tools, visual designs, interface layouts, trademarks, logos, documentation, and the underlying know-how and algorithms — is owned by Hint America Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the time your account is active and in good standing. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform, copy or republish any part of the Service outside of what the interface expressly allows, use our brand, name, or logos without prior written permission, resell or sublicense access to the Service, or use the platform or data derived from it to train competing AI or QR code products.

Your QR codes and the visual designs you generate are yours to use — on packaging, signage, digital materials, marketing campaigns, anywhere you like — for the duration of your subscription and, for QR codes themselves, beyond. Dynamic redirect functionality depends on an active subscription: static codes will continue to resolve after cancellation, but dynamic redirects may stop working when the associated account is closed.

Feedback you send us about the Service — suggestions, bug reports, feature requests — is welcome and valuable. You grant us a perpetual, royalty-free right to use that feedback to improve the Service, with no obligation to you.

All rights in the Service not expressly granted to you in these Terms are reserved by Hint America Inc.


13. Content Policy and Prohibited Uses

GetQR is a tool that points people from the physical world to digital destinations, which means misuse can cause real harm. The following content and activities are prohibited, both in the QR code destinations you create and in any material you upload to the Service.

Illegal activity and fraud. You may not use the Service to facilitate illegal activity of any kind, including fraud schemes, phishing, identity theft, money laundering, the sale of stolen goods, or the distribution of content that violates applicable law in any jurisdiction where the code will be scanned.

Adult, sexual, and child-safety violations. You may not link to pornographic or sexually explicit content, non-consensual intimate imagery, or any material that sexualizes, endangers, or exploits minors. Child sexual abuse material is absolutely prohibited and will be reported to the appropriate authorities.

Violence and harm. You may not link to content that promotes, incites, glorifies, or provides instructions for terrorism, mass violence, suicide, self-harm, eating disorders, or other conduct likely to cause physical harm.

Hate speech and harassment. You may not link to content that attacks, harasses, or discriminates against individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, age, or any other protected characteristic.

Deception and impersonation. You may not use the Service to impersonate other people, companies, or organizations, create QR codes that purport to be from brands or authorities you are not authorized to represent, distribute deepfakes or manipulated media intended to mislead, or spread deliberate misinformation.

Privacy and personal data. You may not link to content that exposes another person's private information, intimate images, or other data without proper legal basis and consent.

Malicious software and technical abuse. You may not link to malware, ransomware, spyware, drive-by download exploits, browser hijackers, or any software that attempts to damage, interfere with, or gain unauthorized access to a user's device. You may not probe, scan, or test the security of our platform without prior written authorization.

Spam and infrastructure abuse. You may not use the Service to distribute unsolicited bulk communications, operate link-laundering or cloaking schemes, or resell GetQR's infrastructure as a generic redirect service.

Platform protection. You may not attempt to circumvent rate limits, usage caps, or access controls, use automated scripts or bots in a manner that burdens our infrastructure, scrape platform content, or take any action that degrades the Service for other users.

We are not obligated to pre-screen content behind QR codes, and we do not. We do, however, reserve the right to investigate reports of misuse, disable individual QR codes, suspend or terminate accounts, and cooperate with law enforcement where we reasonably believe these Terms or applicable law have been violated.

Export controls and sanctions apply to the Service. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive trade sanctions imposed by the United States, and that you are not listed on any restricted-party list maintained by the U.S. government.


14. Third-Party Destinations and Links

Dynamic QR codes redirect scanners to destinations chosen by the user who created the code. The Service may also reference or link to third-party websites, tools, or services, either through the product interface or through QR code destinations.

We do not control, verify, endorse, or guarantee the safety, accuracy, availability, or legality of any third-party destination or resource. Third-party websites have their own terms of service, privacy policies, and data practices, which apply to any visit you or any scanner makes to them. Following a third-party link or scanning a QR code that leads to a third-party destination is done at your own risk.

GetQR is not responsible for third-party content, products, services, transactions, or disputes, and we make no warranty regarding them. If you scan or distribute QR codes that link to third-party destinations, you accept this on behalf of yourself and, to the extent applicable, on behalf of anyone who scans a code you have distributed.


15. Security

We take platform security seriously. We maintain administrative, technical, and organizational safeguards designed to protect the Service, our systems, and the data you entrust to us from unauthorized access, disclosure, alteration, or destruction. Those safeguards include encryption in transit, access controls on production systems, logging and monitoring, and periodic review of our security practices.

Despite those measures, no online service can guarantee absolute security. You acknowledge that transmitting data over the internet always carries some risk. You are responsible for using secure devices and networks to access the Service, keeping your email account secure (since it receives login authentication codes), and notifying us promptly at help@getqr.com if you suspect unauthorized access to your account or any other security issue.

You may not attempt to probe, scan, or test the security of the Service, interfere with other users' access, or exploit any vulnerability you discover. Responsible disclosure of suspected vulnerabilities is welcomed — please email help@getqr.com, and we will work with you in good faith to investigate and address verified issues.

In the event of a security incident that affects your personal data, we will notify you as required by applicable law.


16. Service Level Commitment

We target 98.9% annual uptime for the Service, excluding scheduled maintenance windows and events outside our reasonable control as described in Section 23. Scheduled maintenance is announced at least 24 hours in advance and is generally performed during low-traffic periods. Emergency maintenance for security, legal compliance, or stability reasons may be performed without prior notice.

If monthly uptime falls below our target, we will apply service credits to your account on request: 3 days of service credit if uptime is between 97.9% and 98.9%, 7 days if uptime is between 95% and 97.9%, and 14 days if uptime is below 95%. Service credits extend your current subscription period and are not payable in cash.

Service credits are your sole and exclusive remedy for downtime or degraded performance of the Service.


17. Technical Requirements

The Service supports the latest two major versions of Google Chrome, Mozilla Firefox, Safari, and Microsoft Edge. Both desktop and mobile browsers are supported through a responsive interface. JavaScript and cookies must be enabled for the Service to function properly.

A stable internet connection of at least 1 Mbps is recommended, with 5 Mbps or higher providing the best experience for analytics-heavy dashboards and bulk operations. Network latency under 300 ms is ideal.


18. Customer Support

Email support is available seven days a week at help@getqr.com, with typical response times between 6 and 24 business hours. Additional self-service resources are available through our Help Center.

Formal complaints can be submitted to help@getqr.com with a clear description of the issue, your account email, supporting materials, and a timeline of relevant events. We acknowledge complaints within 5 business days, aim to complete investigation within a further 3 to 5 business days, and deliver a resolution within 15 business days of the original complaint where practicable.

If you are not satisfied with the outcome, you can escalate to escalations@getqr.com for review by a team lead, and from there to escalations-management@getqr.com for senior management review. Final escalation decisions are provided within 15 business days.

Support interactions may be logged, reviewed, and used for quality improvement, staff training, and compliance purposes.


19. Indemnification

You agree to defend, indemnify, and hold harmless Hint America Inc., its parent, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and service providers (together, the "GetQR Parties") from and against any third-party claims, demands, investigations, proceedings, liabilities, damages, losses, settlements, judgments, fines, costs, and expenses (including reasonable attorneys' fees and court costs) that arise out of or relate to:

your use of the Service; the QR codes you create, the destinations you link to, and any content you upload; your violation of these Terms or any applicable law; your infringement or misappropriation of any third party's intellectual property, privacy, publicity, or contractual rights; your use of the Service in any high-risk context, contrary to Section 3; your interactions with other users or with third parties arising from your use of the Service; and any fraud, intentional misconduct, gross negligence, or criminal conduct on your part.

We may, at our option and at your expense, assume exclusive defense and control of any matter subject to indemnification. If we do, you agree to cooperate fully with the defense and not to settle the matter in a way that imposes any liability or obligation on any GetQR Party without our prior written consent. Your obligations under this section survive the termination or expiration of these Terms and your account.


20. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL FEATURES, CONTENT, OUTPUTS, AND RELATED MATERIALS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HINT AMERICA INC. AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT QR CODES WILL RESOLVE OR SCAN CORRECTLY IN EVERY SITUATION OR ON EVERY DEVICE, THAT ANALYTICS DATA WILL BE COMPLETE OR ERROR-FREE, THAT AI-GENERATED SUGGESTIONS OR CONTENT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE, OR THAT DEFECTS IN THE SERVICE WILL BE CORRECTED ON ANY PARTICULAR TIMELINE. NO STATEMENT MADE BY US, WHETHER WRITTEN OR ORAL, CREATES ANY WARRANTY NOT EXPRESSLY SET OUT IN THESE TERMS.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you in full. In those jurisdictions, our warranties are limited to the minimum extent permitted by applicable law.


21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER HINT AMERICA INC. NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR CONNECTED TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STRICT LIABILITY, WARRANTY, STATUTE, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE PAID US NOTHING, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING THE SERVICE.

These limitations apply even if any limited remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the mandatory consumer protection laws of your country of residence. If you are a consumer in the European Union, United Kingdom, Australia, California, or another jurisdiction with mandatory consumer rights, those rights apply in addition to these Terms and take precedence where required by law.


22. Equitable Relief

You acknowledge that a breach of these Terms — particularly breaches involving unauthorized access to the Service, misuse of our intellectual property, reverse engineering, scraping, or use of the Service to train competing AI or QR products — may cause Hint America Inc. harm that cannot adequately be compensated by money alone. In addition to any other remedy available at law or in equity, we are entitled to seek temporary, preliminary, and permanent injunctive relief in any court of competent jurisdiction, without posting bond and without having to prove actual monetary damages, to stop or prevent such a breach.

Nothing in this section limits any other remedy available to us under these Terms or applicable law.


23. Force Majeure

We will not be liable for delays, failures, or interruptions in the Service caused by events beyond our reasonable control, including natural disasters such as floods, earthquakes, fires, and severe weather; wars, hostilities, terrorism, and civil unrest; pandemics and public health emergencies; governmental restrictions, sanctions, or legal orders; failures of internet service providers, cloud hosting providers, DNS services, certificate authorities, and other third-party infrastructure; failures of power grids, telecommunications networks, or undersea cables; and labor disputes or shortages of critical materials and utilities.

If a force majeure event continues for more than 30 consecutive days and prevents us from providing a substantial portion of the Service, either party may terminate affected subscriptions by written notice to the other, and we will refund the pro-rata portion of any prepaid fees for the affected period.


24. Account Closure and Termination

You can close your account at any time from your account settings or by canceling your subscription through the cancellation page referenced in Section 9. Any active subscription remains valid through the end of the current billing cycle, after which the account is deactivated.

We may suspend or terminate your account, with or without notice, for violations of these Terms, fraudulent activity, chargebacks or other payment abuse, suspected compromise of your account, legal or regulatory obligations, and extended periods of inactivity. Where termination is not due to your breach of these Terms, we will, where reasonably possible, provide advance notice and allow you to export or recover your data.

Upon account closure, your access to the dashboard ends, dynamic QR redirects associated with the account may cease to function, and your content may be deleted from our active systems in accordance with our Privacy Policy and applicable data retention requirements.

Provisions of these Terms that by their nature should survive termination — including Sections 11, 12, 13, 19, 20, 21, 22, 25, 26, and 27, and any payment obligations — will survive.


25. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any legal action or proceeding arising out of or relating to these Terms or the Service, other than an application for equitable relief as described in Section 22 or a small-claims action where available, must be filed exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction of those courts and waive any objection to their venue or convenience.

Any claim or cause of action arising out of or relating to the Service or these Terms must be filed within one year after the claim accrued, or it will be permanently barred, unless applicable law requires a longer limitation period.

Before starting formal proceedings, you agree to contact support@getqr.com to describe the dispute and give us a reasonable opportunity to resolve it informally.


26. Changes to These Terms

We may update these Terms as our product, legal environment, or business practices evolve. For material changes — those that meaningfully affect your rights, obligations, or subscription pricing — we will provide at least 30 days' notice by email or in-app message before the change takes effect, and the "Last Updated" date at the top of this document will be revised.

If you do not accept a material change, you can cancel your subscription before it takes effect and receive a pro-rata refund for any prepaid period extending beyond the effective date. Continuing to use the Service after the effective date of a change means you accept the updated Terms.

Non-material changes, such as typographical corrections, clarifications, and updates to contact details, may take effect immediately without advance notice.


27. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any order or plan details displayed at checkout, make up the entire agreement between you and Hint America Inc. regarding the Service and replace any prior agreements, proposals, marketing statements, or communications on the same subject. In the event of a conflict between these Terms and another document, these Terms prevail unless the other document expressly states otherwise and is signed by an authorized representative of Hint America Inc.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, severed from these Terms. The remaining provisions will remain in full force and effect. The Class Action Waiver in Section 2 is an exception to this rule and is expressly non-severable as described in that section.

No waiver. Our failure to enforce any provision of these Terms, or to insist on performance of any obligation, is not a waiver of that provision or obligation, either on that occasion or on any future occasion. Any waiver by us must be in writing and signed by an authorized representative to be effective.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; any attempt to do so is void. We may assign these Terms, in whole or in part, to an affiliate, a successor in interest, or an acquirer of all or substantially all of our assets or business, without consent.

Relationship of the parties. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Hint America Inc. Neither party has the authority to bind the other.

Headings. Section headings in this document are included for convenience only and do not affect the interpretation of these Terms.

Language. These Terms may be made available in multiple languages. In the event of a conflict between the English version and any translation, the English version controls, except where local law requires otherwise.

Notices. Legal notices to us must be sent to legal@getqr.com and to the registered address in Section 28 to be valid. We may send notices to you by email to the address associated with your account or by posting in the Service.
